These terms and conditions, our Privacy Policy and any other terms posted on the Site (collectively, the “Terms”) govern your use of the Site and your purchases of merchandise available through the Site. These Terms constitute a binding contractual agreement between you and us (“we” or “our”).

1.2. Accessing the Site from Overseas

a) The Site may be accessed from countries. We do not guarantee that the Site and merchandise purchased through the Site comply with the laws of the region.

b) If you access the Website, you do so at your own risk and understand that it is your responsibility to ensure that your access to and use of the Website and/or purchase of goods through the Website complies with the laws of the country from which you access and use the Website and/or purchase goods through the Website.

2. License to Use the Website

2.1. We grant you a non-exclusive, worldwide, non-transferable license to use the Website in accordance with these Terms.

2.2. You may access and use the Website only for your personal, non-commercial use.

5.1. Unless expressly provided otherwise herein, we retain all intellectual property rights in the Website and nothing in these Terms will constitute a transfer of any intellectual property rights.

By posting or adding any content to the Website (including but not limited to comments, feedback, ideas or suggestions posted by you through the Website), you grant us a perpetual, non-exclusive, royalty-free, irrevocable, worldwide and transferable right and license to use that content in any way (including but not limited to copying, modifying and communicating the content to the public), and you allow us to authorize any other person to do the same.

5.4. You consent to any action or omission that may constitute an infringement of your moral rights, and if you add any content in which a third party has moral rights, you must also ensure that the third party consents in the same manner.

5.5. The license in clause 5.4 will survive any termination of these Terms.

6.1. The Website may contain links to other websites or resources that are owned and operated by third parties and are not under our control.

6.2. We do not endorse, sponsor or approve any content on any linked websites and resources and we are not responsible for the material contained on those linked websites or resources.

7. Privacy

7.1. The personal information you provide to us in order to use the Website and purchase goods through the Website (including any information that can identify you, such as your contact details) will be collected, used and disclosed by us in accordance with our Privacy Policy.

8. Information Security

8.1. We will take all reasonable steps to implement, maintain and enforce security procedures and safeguards to protect the security, confidentiality and integrity of your personal information and any content you post on the Website from unauthorized access or use by third parties or misuse, damage or destruction by any person.

8.2. Notwithstanding Clause 8.1, we do not warrant and cannot ensure the security of any information you provide to us. Therefore, any information you provide to us is at your own risk.

8.3. We recommend that you use firewalls, anti-virus software and any other such security applications to protect your computer system from potential harm.

9. Terms of Purchase

9.1. Placing an Order

a) To purchase goods on the Website, you must place an order.

b) Once you have placed an order, we will send you a confirmation by email confirming receipt of your order. This confirmation does not constitute our acceptance of your order.

c) We reserve the right to request further details or verify your identity before processing your order.

d) A legally binding contract for the purchase of goods will only be created once your payment has been approved.

e) We are not obliged to accept any order. If we reject your order, we will refund any sums you have paid.

f) Once you have received confirmation from us confirming that we have accepted your order, you may not make any changes to or cancellations of your order. Therefore, you should ensure that your order is accurate before submitting it.

g) Individual orders placed by you cannot be combined and therefore, each order will be subject to a delivery and handling charge.

9.2. Registering for an Account

a) You can place an order as a guest or by registering an account with us. In either case, you will be required to provide personally identifiable information. You must ensure that the personally identifiable information is true, accurate, complete and up to date. We are not responsible for any failure to receive any communications due to incorrect details contained in your account.

b) If you register for an account, you understand that you are solely responsible for all activities that occur under your account and for maintaining the confidentiality and integrity of your account. To this end, you agree not to disclose your password to any third party and to take all reasonable steps to ensure that third parties cannot access your account.

9.3. Availability of Goods

a) All orders are subject to the availability of the goods requested. If we are unable to fulfil your order or any part of it, we will refund the price you paid for the out-of-stock goods.

b) We reserve the right to limit the quantity of goods in a single order.

9.4. Availability of Goods, Decoration Packs

a) Items included in decoration packs are subject to availability. If a particular item is out of stock, we reserve the right to substitute a similar item of equal or greater value.

b) Any substituted items will be carefully selected to ensure that they fit in with the overall design and visuals of the package and maintain the intended aesthetic.

c) Customers will not be notified separately of substitutions unless the change significantly alters the nature of the package.

d) Items replaced will not be eligible for exchange or refund unless they are defective or damaged.

e) By purchasing a decoration package, customers acknowledge and accept the possibility of substitutions due to stock availability.

9.5. Product Recalls

a) In the event of a product recall, you must provide us and, if applicable, any third party with the required assistance.

9.6. Prices and Payment

a) Prices displayed on the Website (including product prices and shipping costs) are in US dollars and are inclusive of GST if applicable.

b) The price of goods is separate from shipping and/or handling charges.

c) We reserve the right to change or amend prices without prior notice. Subject to clause 9.6, if you have submitted an order at a specific price, we will supply your goods at that price.

d) Full payment of the goods and any applicable delivery and/or handling charges is required when placing an order.

e) We do not collect or store your debit or credit card information. All debit and credit card transactions on the Website are processed through a third party payment gateway (“Processor”). You hereby authorize the Processor to process payment through your designated payment method.

f) Although we will take all reasonable steps to protect your debit and/or credit card information, given the nature of the Internet, we cannot guarantee the security of such information and, in the event of any gross negligence on our part, we will not be liable for any losses you suffer as a result of unauthorized access to your debit and/or credit card information.

g) Once we receive your order, we will perform a standard pre-authorization check on your credit or debit card and, for this purpose, you hereby authorize us to perform this check.

h) Your order will not be shipped until payment has cleared. If payment has not cleared, we will cancel your order and notify you.

i) When you place an order, the payment method will be specified on the Website.

9.7. Errors and Inaccuracies

a) From time to time, the Website may contain incorrect or inaccurate information relating to, for example, prices, product descriptions or availability of goods.

b) We reserve the right to update or correct any incorrect or inaccurate information at any time without prior notice. We further reserve the right to refuse any order placed based on incorrect or inaccurate information.

c) If your order has been confirmed and we subsequently become aware that the order (or any part of it) is affected by a price inaccuracy or error, we will notify you of the error as soon as possible and give you the option of purchasing the goods affected by the inaccuracy or error at the correct price or cancelling the order. If we do not hear from you within two (2) calendar days, we will cancel your order in its entirety and refund the full amount.

9.8. Discount Codes

a) We may offer promotional discount codes that may be used on the whole or part of the Website.

b) Any offer we make in relation to promotional discount codes is subject to the specific conditions we provide at the time of making the offer.

b) Discount codes cannot be used to purchase gift cards online or in-store.

9.9. Delivery

a) Delivery charges and freight are stated at checkout

b) We do not guarantee the quality of freight and delivery services of any third party service provider.

10. Risk and liability

a) The risk of loss or damage to the goods will pass to you when the goods are delivered to your nominated delivery address.

a) Goods may only be returned in accordance with our Returns Policy

b) We do not provide refunds for change of mind, only for faulty goods.

c) We will process any refund within a reasonable time.

d) Refunds will be processed in the same manner as the original payment.

9.11. Consumer Guarantees

a) Nothing in these Terms is intended to exclude, restrict or modify, or have the effect of excluding, restricting or modifying, any rights you may have under the Australian Consumer Law.

The Website and all information, content or materials contained therein are provided to you on an "as is" and "as available" basis without any warranties, guarantees or representations, whether express or implied, including but not limited to the warranties of merchantability, acceptable quality and fitness for any purpose, which are hereby expressly disclaimed to the maximum extent permitted by law.

10.3. You are solely responsible for the suitability of the Website for your intended application and use. We do not guarantee that the Website will meet your requirements.

10.4. We do not guarantee that the Website will be available uninterrupted or error-free or that the Website is free of viruses, bugs or other factors that may interfere with the normal operation of your system.

10.5. Although we will take all reasonable measures to ensure that the images of the products available for purchase on the Website accurately represent the products, we do not guarantee that the images will exactly correspond to the actual products.

10.6. If applicable law does not allow the disclaimer of warranties, the Website only provides the minimum warranties required by law.

11. Exclusion and limitation of liability

11.1. We will not be liable for any loss or damage arising directly or indirectly from the Website and these Terms, howsoever caused, except to the extent such liability cannot be excluded at law and subject to clause 9.4.

11.2. Notwithstanding the generality of clause 11.1, we expressly exclude liability for special, indirect or consequential damages, which shall be deemed to include loss of data, revenue, profits, actual or potential business opportunities or anticipated savings or profits or claims.

11.3. Subject to clause 11.4, if any exclusion or other provision of this Agreement is held to be invalid for any reason and we have liability for loss or damage which would otherwise be limited, such liability shall be limited to the price paid for the goods and access to the Website.

11.4. The limitations set out in clause 11.1 do not apply to our liability for losses suffered or incurred by you as a result of:

Fraud or other illegal conduct;

12.1. You agree to indemnify and hold us harmless from and against all losses, damages, liabilities, claims and expenses (including legal fees) arising out of or in connection with your use of the Website, your breach of these Terms or your infringement of any third party rights.

13.2. Accumulated Rights

a) Termination will not affect any accrued rights or liabilities of ours or yours.

a) All Terms that by their nature are reasonably interpreted as being intended to survive, shall survive termination of your access and shall continue to apply.

15. These Terms and Conditions shall be construed and enforced in accordance with the laws of the United States. These Terms and Conditions may be revised from time to time and any changes shall be effective upon posting on our website.
